PART 0 — EXCLUSIVE 100-STUDENT CLAT PARTNERSHIP COHORT & STRICT RESTRICTIVE COVENANTS

1. Scope of the Exclusive 100-Student CLAT Partnership Program

StudyFlo is currently administering an exclusive, closed-cohort academic partnership program limited to a designated quota of one hundred (100) enrolled students (the “100-Student CLAT Cohort”). Access granted under this program is strictly provisional, revocable, personal, non-exclusive, non-transferable, and non-sublicensable.

Every user enrolled in the 100-Student CLAT Cohort is granted access solely for their own bona fide personal preparation for the Common Law Admission Test (CLAT) and related legal entrance examinations. Under no circumstances may an enrolled student share their login credentials, pool accounts, distribute access codes, or permit any third party to view, take, or inspect tests on the Platform.

2. Absolute Prohibition on Copying, Data Scraping, Reproduction, and Piracy

All proprietary materials hosted on or generated by StudyFlo — including but not limited to reading comprehension passages, legal reasoning scenarios, General Knowledge & Current Affairs compilations, logical reasoning arguments, quantitative interpretation data sets, question stems, multiple-choice options, master answer keys, distractor analyses, model explanations, rubric parameters, and algorithmic score reports (collectively, “StudyFlo Vault Materials”) — constitute valuable, proprietary trade secrets and copyrighted works of StudyFlo.

Each user explicitly covenants and agrees that they shall NOT, directly or indirectly:

• Copy or Reproduce: Copy, duplicate, transcribe, screenshot en masse, screen record, OCR, or reproduce any passage, question, explanation, or test interface in any medium.
• Sell or Commercialize: Sell, rent, lease, sublicense, monetize, package, distribute, republish, or circulate StudyFlo Vault Materials through Telegram channels, WhatsApp groups, Google Drives, websites, printed booklets, or any other commercial or non-commercial medium.
• Reverse Engineer or Benchmark: Extract, decompile, benchmark, parse, or reverse-engineer our passage database, question-generation prompts, rubric criteria, difficulty metrics, or micro-topic taxonomies.
• Create Derivative Works: Author, compile, or create substantially similar question banks, mock test series, or instructional materials derived from StudyFlo's proprietary frameworks.

3. Specific Restrictive Covenant: Career Launcher (CL Educate Ltd.) & Third-Party Coaching Institutes

SPECIAL STATUTORY NOTICE: This Section constitutes an express restrictive covenant protecting StudyFlo's trade secrets, confidential materials, and intellectual property from competitive misappropriation.

• Prohibition on Teachers & Faculty: No teacher, faculty member, mentor, content developer, curator, administrator, employee, contractor, consultant, or agent associated with or employed by Career Launcher (including CL Educate Ltd., its subsidiaries, affiliates, and franchisees) or any other commercial test preparation entity, coaching institute, or publishing company may access, use, inspect, copy, reuse, adapt, teach with, or reproduce StudyFlo's data, passages, questions, mock tests, or pedagogical algorithms.
• Prohibition on Enrolled Students: No student enrolled in Career Launcher, CL Educate Ltd., or any affiliated coaching network who accesses StudyFlo (whether as part of the 100-Student Cohort or otherwise) may share, transfer, transmit, upload, or make available any StudyFlo data, passages, mock tests, or answer keys to any Career Launcher teacher, mentor, center, representative, or peer group.
• No Commercial Replication: Neither Career Launcher nor any other coaching institute or individual associated therewith may use StudyFlo materials, methodology, micro-topic classifications, or AI grading paradigms to build, enhance, train, calibrate, or benchmark their own mock tests, quizzes, AI models, or curriculum products.

4. Technical Security, Anti-Hacking, and Network Integrity

Users are strictly prohibited from attempting to compromise, probe, or tamper with StudyFlo's infrastructure. Prohibited activities include, without limitation:

• Using automated bots, crawlers, scrapers, headless browsers, cURL scripts, or programmatic scrapers to extract passage data or network responses from /api/* endpoints.
• Attempting to intercept, inspect, or tamper with Firestore collections, master answer keys, or backend database records.
• Circumventing authentication tokens, rate limits, token quotas, or access-control barriers.
• Executing SQL/NoSQL injection, denial-of-service (DoS) attacks, network sniffing, or vulnerability scanning against StudyFlo servers.

5. Breach, Liquidated Damages, Injunctions & Statutory Prosecution

Any violation of Part 0 constitutes a deliberate, bad-faith breach of contract, willful infringement under the Copyright Act, 1957, trade secret misappropriation under common law, and criminal computer offenses under Sections 43 and 66 of the Information Technology Act, 2000 (unauthorized data extraction, hacking, and computer system damage).

PART I — GENERAL TERMS OF SERVICE

6. About StudyFlo

StudyFlo is an AI-powered educational software-as-a-service (SaaS) platform developed to assist students, educators, and academic institutions with examination preparation, essay writing, note-taking, study planning, authentic passage-based mock testing, and intelligent pedagogical analytics.

The Platform is owned, operated, and maintained by StudyFlo (headquartered in Bengaluru, Karnataka, India; hereinafter “StudyFlo”, “we”, “us”, or “our”).

7. Statutory Contact & Grievance Redressal (DPDP Act, 2023 & IT Rules, 2021)

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Digital Personal Data Protection Act, 2023, the contact information for all legal, support, and statutory matters is provided below:

Grievances will be formally acknowledged within 48 hours and resolved within 30 days of receipt.

8. Acceptance of Terms

By registering an Account, checking the “I have read and accept the Terms and Conditions” box on the signup page, logging in, or accessing any tool, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree, you must immediately discontinue all use of the Platform.

PART II — ACCOUNTS, ELIGIBILITY & MINOR PROTECTION (DPDP ACT)

9. Age Eligibility & Minor Consent

Under the Digital Personal Data Protection Act, 2023 (India), any individual under the age of eighteen (18) years is defined as a minor. StudyFlo complies strictly with statutory mandates regarding minor data processing:

• Verifiable Parental Consent: If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and consented to these Terms and our Privacy Policy on your behalf.
• No Harmful Tracking: StudyFlo does not engage in targeted behavioral profiling or commercial advertising directed toward minor users.
• Institutional Onboarding: Where schools, colleges, or educational institutions enroll minors, the institution certifies that it has procured all requisite statutory consents from parents or guardians.

10. Account Security & Credential Integrity

You agree to provide true, accurate, and current information upon signup. You are solely responsible for safeguarding your authentication credentials (including passwords and Google OAuth sessions). You agree to notify StudyFlo immediately at surya@studyflo.in if you suspect unauthorized access to your Account.

PART III — PLATFORM FEATURES, TOKENS & AI DISCLAIMERS

11. Platform Features & Proprietary Passage Vaults

StudyFlo provides a suite of intelligent educational tools, including:

• CLAT Mock Test Engine: Authentic 5-section timed mock examinations drawn from calibrated passage repositories with dynamic rotation algorithms.
• CLAT Quick Quiz Tool: Single-section rapid diagnostic quizzes with micro-topic analysis.
• AI Essay Grading & Evaluation: Multi-criterion structural evaluation, legal reasoning feedback, and indicative grade gap analysis.
• AI Academic Chat & Assistant: Conceptual inquiry and study assistance.
• Smart Revision & Study Planner: Algorithmic preparation scheduling.
• Intelligent Notes: Cloud-synced, AI-augmented academic notes.

12. AI Probabilistic Output Disclaimer

StudyFlo utilizes advanced artificial intelligence models (including Google Gemini and OpenAI GPT engines). Users acknowledge and agree that:

• AI outputs are generated by statistical inference and may occasionally contain inaccuracies, hallucinations, or omissions.
• Mock test scores, essay grades, and predictive analytics are indicative learning aids and do not guarantee admission to any National Law University (NLU) or specific examination rank.
• All outputs should be reviewed with appropriate critical judgment alongside authoritative legal textbooks and official examination notification materials.

13. Tokens, Billing & Non-Refundable Nature of Services

Computational AI processing is metered using StudyFlo Tokens. Paid subscription plans, token top-ups, and institutional seats are billed in advance. Unless required by applicable consumer protection laws, all payments are strictly non-refundable once computational tokens or mock tests have been provisioned.

PART IV — INTELLECTUAL PROPERTY & DATA PRIVACY

14. StudyFlo Proprietary Intellectual Property

StudyFlo and its licensors retain absolute and exclusive ownership of all right, title, and interest in and to the Platform, including all source code, software architecture, user interfaces, database schemas, prompt engineering templates, scoring rubrics, master answer keys, passage vaults, algorithms, and trademarks. No implied licences are granted.

15. User Content & Privacy

Users retain ownership of raw study notes and original essays uploaded to their private account. Users grant StudyFlo a limited, non-exclusive licence to process, format, and evaluate such content solely to provide the requested educational features. StudyFlo does not sell personal user content or use private student submissions to train publicly accessible generative models without consent.

PART V — ACADEMIC INTEGRITY & ETHICAL CONDUCT

16. Ethical Educational Usage

StudyFlo is designed to empower genuine learning, comprehension, and rigorous exam preparation. Users shall not utilize StudyFlo to engage in plagiarism, contract cheating, or live examination misconduct. Submitting verbatim AI-generated essays to educational institutions without proper disclosure is strictly prohibited.

PART VI — LIMITATION OF LIABILITY & INDEMNIFICATION

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUDYFLO, ITS FOUNDERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF ACADEMIC STANDING, EXAMINATION RESULTS, DATA LOSS, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM.

18. Indemnification

You agree to defend, indemnify, and hold harmless StudyFlo, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, unauthorized data extraction, or violation of any third-party right.

PART VII — DISPUTE RESOLUTION, ARBITRATION & JURISDICTION

19. Dispute Resolution & Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be resolved through mutual good-faith negotiations. If unresolved within thirty (30) days, the dispute shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

• Language: English
• Arbitrator: Sole arbitrator appointed mutually or in accordance with the Act.

20. Exclusive Court Jurisdiction

Subject to Section 19, the parties irrevocably submit to the exclusive jurisdiction of the competent courts situated at Bengaluru, Karnataka, India for all legal proceedings and the enforcement of arbitral awards or interim relief.

21. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms constitute the complete and entire understanding between you and StudyFlo regarding the subject matter herein.
